1. Purpose

This Reseller Agreement (“Agreement”) establishes the terms and conditions under which 8Dweb LLC (“8Dweb” or “the Company”) authorizes the Reseller to market, sell, and support designated 8Dweb services. This 2025 revision supersedes all prior Alphasites agreements.

2. Definitions

• Affiliate: Entity controlling, controlled by, or under common control with a party.
• Customer: End-user purchasing services via the Reseller.
• Services: Hosting, cloud servers, domains, software licenses, and related Internet services offered by 8Dweb.
• Agreement: This document including incorporated policies.
• Privacy Policy: https://8dcloud.com/8dweb-privacy-policy/
• Effective Date: The date Reseller executes this Agreement.

3. Appointment and Scope

8Dweb grants Reseller a non-exclusive, non-transferable, revocable right to market and resell the Services under the 8Dweb brand or white-label, subject to this Agreement. 8Dweb may grant similar rights to other resellers.

4. Compliance with Laws

Reseller will comply with all applicable laws, including:

• Virginia Consumer Data Protection Act (VCDPA)
• California Consumer Privacy Act (CCPA) and amendments
• General Data Protection Regulation (GDPR) where applicable

Reseller will maintain appropriate data protection, consent, and breach-notification practices consistent with the above and any successor laws.

5. Reseller Obligations

• Maintain accurate contact and billing information with 8Dweb.
• Provide first-level technical support and billing assistance to Customers.
• Comply with 8Dweb’s Acceptable Use Policy (AUP).
• Protect Customer Data using industry-standard security practices and least-privilege access.
• Promptly report suspected data breaches or unauthorized access to 8Dweb.
• Present accurate, compliant terms and a privacy notice to Customers (linking to 8Dweb’s Privacy Policy where 8Dweb is the processor).

6. Payment and Fees

Reseller agrees to pay all fees according to 8Dweb pricing and invoices. Recurring services are billed in advance; overdue balances accrue interest at 1.5% per month or the maximum allowed by Virginia law. Refunds for partial terms are not issued unless required by law.

7. Term and Termination

This Agreement remains in effect until terminated by either party with 30 days’ written notice. 8Dweb may terminate immediately for breach, non-payment, or non-compliance with law. Upon termination, all rights to 8Dweb IP cease, outstanding balances are due within 30 days, and Customer data may be deleted after 30 days.

8. Data Protection and Privacy

• Personal data will be processed only as necessary to deliver the Services and per the Privacy Policy.
• Reseller will obtain and record valid consent where required, and honor data subject rights (GDPR, CCPA, VCDPA).
• Both parties will notify affected parties and authorities of data breaches as required by law.
• Third-party processors engaged by Reseller must implement equivalent safeguards.

9. Intellectual Property

All 8Dweb trademarks, software, documentation, and systems are the exclusive property of 8Dweb LLC. Reseller may use 8Dweb marks solely to promote authorized Services, subject to brand guidelines.

10. Limitation of Liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, or consequential damages. 8Dweb’s aggregate liability is capped at the fees paid by Reseller in the 60 days preceding the event giving rise to the claim.

11. Indemnification

Reseller will indemnify and hold harmless 8Dweb and its affiliates against claims, losses, and expenses arising from Reseller’s actions, including violations of law, misuse of Services, or breach of this Agreement.

12. Force Majeure

8Dweb will not be liable for delays or failures caused by events beyond reasonable control, including natural disasters, acts of government, or cyberattacks.

14. Governing Law

This Agreement is governed by the laws of the Commonwealth of Virginia. Venue is the state courts of Fairfax County, Virginia.

15. Entire Agreement

This Agreement (with incorporated policies and fee schedules) constitutes the entire understanding between 8Dweb and Reseller and supersedes prior agreements.
